Mr Karelis graduated from The University of Western Australia with Bachelors and Honours in Science majoring in Biochemistry and Microbiology as well as a Masters in Business Administration. He is a Fellow of the Financial Services Institute of Australia, a Fellow of the Australian Institute of Company Directors and has qualified as a Chartered Financial Analyst (CFA) from the CFA Institute in the United States. He has over 25 years’ experience in the capital markets with roles in financial analysis, funds management and private equity investing both in Australia and overseas.
Mr Karelis is an experienced ASX company director and is currently a director of Zelda Therapeutics Limited and is a former founding Director of AusCann Limited – two of Australia’s leading medicinal cannabis companies.
He has extensive relationships in the medicinal cannabis sector globally and is responsible for formulating and implementing corporate development strategies for the company. Mr Karelis resides in Australia.
Mr McGrouther has over 30 years of financial services and corporate advisory service. He is a co-founder and current director at KTM Capital, a Sydney-based boutique investment bank specialising in corporate advisory and underwriting services for high-growth companies. Since KTM’s inception in 1988, the Company has assisted over 60 clients in more than 150 transactions, raising over $600 million of equity capital.
Prior to founding KTM Capital, Mr. McGrouther was a Director of the Corporate Finance Department of Prudential Bache Securities Limited, and prior to that, he was an Associate Director at Bankers Trust Australia. Mr. McGrouther specialises in the provision of strategic advice in the areas of valuation, capital raising and investor relations services for ASX listed companies.

Michael Sprenger is a co-founder of HAPA Medical. Michael graduated from the Frankfurt School of Finance and Management, one of the top-5-business schools in Germany, with a Bachelor of Science in International Business. Michael started his career managing hedge funds up to 1.5 billion EUR in assets for institutional investors in absolute return and derivative strategies. Building smaller companies on the side he moved into the start-up industry in Berlin. He worked for the most successful venture builders in Germany (Rocket Internet, HitFox Group) hands-on in early stage start-ups bringing them to speed operationally. He has a strong finance and analytical background especially in the start-up environment. Mr Sprenger resides in Germany.
